Xod Play — Terms of Use

These Terms of Use ("Terms") govern your use of the Xod Play mobile application ("Xod Play", the "App"). Xod Play is an offline-first board game companion provided by an independent developer ("we", "us", "our"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Acceptance of Terms

By installing or using Xod Play, you confirm that you have read, understood, and agree to be bound by these Terms and by any policies referenced here, including our Privacy Policy.

You confirm that you are old enough to form a binding contract in your jurisdiction, or that a parent or guardian agrees to these Terms on your behalf and is responsible for your use.

If you do not agree to any part of these Terms, your only remedy is to stop using the App and delete it from your device.

2. About Xod Play and Your Data

Xod Play is a companion for tabletop game night: a finger picker, dice roller, turn-order tool, score sheets, an MTG life counter, secret-role dealing, and extras such as a coin flip, finger pong, a labyrinth and holographic stickers. All data you create is stored locally on your device. There is no Xod Play account, no sign-up, no login, and no Xod Play-operated server or backend.

Optional features work directly on your device or between nearby devices: creating stickers from your camera or photos is processed on-device; nearby play deals roles and shares game data directly between phones over your own Wi-Fi or Bluetooth, with no server in between. The app contains no analytics, advertising, or third-party trackers.

Because your data is stored only on your device, you are responsible for it. We never receive, see, or hold a copy of it.

3. License to Use the App

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use one copy of the App on devices you own or control, solely for your own personal, non-commercial use.

You may not copy, modify, distribute, sell, rent, sublicense, or lease the App; reverse engineer, decompile, or disassemble it except to the extent that applicable law expressly permits; remove or alter any proprietary notices; or use the App in any unlawful manner or for any unlawful purpose.

This license does not grant you any ownership rights in the App. All rights not expressly granted are reserved by us.

4. Acceptable Use and Your Responsibilities

You agree to use Xod Play only for lawful, personal entertainment and to respect the other players around you. When using nearby play over Wi-Fi or Bluetooth, do not attempt to disrupt, intercept, or interfere with other people's devices or sessions.

You are responsible for any content you bring into the App — for example a photo you turn into a sticker. You confirm you have the right to use that content and that it is not unlawful or infringing. Stickers and other content you create stay on your device.

Because all data is stored locally, you are solely responsible for keeping your device secure and for any backups. If you delete the App, reset, lose, or replace your device, your data may be permanently lost, and we cannot recover it because we never hold it.

5. Your Content

Anything you create in the App — players, scores, designs, and stickers (including photos you import) — belongs to you. We claim no ownership of it.

Because your content stays on your device and is never transmitted to us, we have no access to it and cannot moderate, review, recover, or remove it on your behalf.

You are responsible for ensuring your content and your use of the App comply with applicable law and with the rights of others.

6. Third-Party Games, Trademarks and Services

Xod Play includes score sheets and helpers that reference third-party tabletop games and game systems. All such game names, logos, and trademarks — including, without limitation, Magic: The Gathering and any board games referenced — are the property of their respective owners. Xod Play is an independent, unofficial companion and is not affiliated with, endorsed, sponsored by, or associated with any of those publishers or rights holders.

These references are made for the purpose of identification and compatibility only (so you can keep score or track life for games you already own). Xod Play does not include the rules, components, or content of those games.

Your download and use of the App through the Apple App Store or Google Play is also subject to that store's terms. Where these Terms conflict with the applicable store's terms with respect to your use of the App, the store's terms govern to the extent of that conflict. You acknowledge that Apple and Google are not parties to these Terms and are not responsible for the App or its content, except as required by the applicable store terms.

7. Intellectual Property

The App, including its software, design, original text, graphics, logos, and the Xod Play name, is owned by us or our licensors and is protected by intellectual property and other laws.

The data and content you create and store in the App belong to you. We claim no ownership of your personal entries, and because your data stays on your device, we have no access to it.

You may not use our trademarks, branding, or any part of the App's protected content without our prior written permission.

8. Disclaimer of Warranties

The App is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.

We do not warrant that the App will be uninterrupted, error-free, or secure, or that any result, dice roll, shuffle, score total, statistic, or nearby-play connection will be accurate, fair, complete, or reliable. Randomized features are for entertainment and are not suitable for gambling or any purpose requiring certified randomness.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, loss of profits, or loss of goodwill, however caused and under any theory of liability, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the App or these Terms will not exceed the greater of the amount you paid for the App (if any) or USD 10.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Termination

These Terms apply for as long as you use the App. You may terminate them at any time by ceasing to use and deleting the App from your device.

We may suspend or terminate your license if you breach these Terms or if required by law. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will continue to apply.

On termination, the license granted to you ends and you must stop using the App.

11. Changes to the App and to These Terms

We may update, modify, or discontinue the App or any feature at any time, with or without notice. We are not obligated to provide updates, support, or maintenance.

We may revise these Terms from time to time. When we do, we will update the "Last updated" date above and make the revised Terms available within the App or its store listing. Material changes will be made available before they take effect where required by law.

Your continued use of the App after revised Terms take effect constitutes your acceptance of them. If you do not agree, stop using and delete the App.

12. Governing Law

These Terms and any dispute arising out of or relating to them or the App are governed by the laws of Ukraine, without regard to its conflict-of-laws rules.

Subject to any mandatory consumer-protection rights available to you in your country of residence, you agree to submit to the exclusive jurisdiction of the courts located in Ukraine for the resolution of any dispute.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
